Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the courts of New Zealand, and you irrevocably submit to the personal jurisdiction of such courts. You waive any objection to venue or forum non conveniens. Nothing in these Terms shall affect any statutory rights you may have as a consumer that cannot be waived or limited by contract.

Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the parties' intent to the fullest extent possible. If modification is not possible, the provision shall be severed. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, which shall remain in full force and effect.

Waiver

No failure or delay by us in exercising any right or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy. Our waiver of any breach of these Terms shall not constitute a waiver of any subsequent breach.

Entire Agreement

These Terms, together with our Privacy Policy, Cookies Policy, and Return Policy (and any other policies or guidelines we publish on the Site), constitute the entire agreement between you and Vorlaxerchar regarding the Site and supersede all prior and contemporaneous agreements, proposals, and communications, whether written or oral. In the event of a conflict between these Terms and any other document, these Terms shall prevail to the extent of the conflict.
